How to define the line of business under the auxiliary company name

Your company can run some of its operations using an auxiliary company name. 

When you file an auxiliary company name with the Trade Register, you must also indicate the line of business it applies to. The business run under the auxiliary company name must not cover the company’s whole line of business – only a part of it. 

For example: Remux Ltd’s line of business is construction, the sale of technochemical products and car hire. The company sells technochemical products under the auxiliary company name “Don’s Detergent” and hires out cars under the auxiliary name “Martin the Motorist”. 

If your company’s line of business consists of only one type of business – such as restaurants – the line of business under the auxiliary company name must be limited, for example, geographically, so that it is narrower than the main line of business. 

For example: The company “Starworld Ltd” operates in the sale of shoes. It uses the auxiliary company name “Espoo Star Shoe” for its shoe shop in the city of Espoo and the auxiliary name “Tikkurila Shoes” for its shoe shop in Tikkurila in the city of Vantaa. 

How to decide on adopting an auxiliary company name 

A private trader can independently make decisions about the auxiliary company name. 

In general and limited partnerships, the general partners may decide to adopt an auxiliary company name. The auxiliary company name does not need to be entered into the partnership agreement. 

Limited liability companies, co-operatives and non-profit associations may adopt an auxiliary company name based on the board’s decision. This means that the auxiliary company name does not need to be entered in the articles of association or rules. The decision must indicate the line of business run under the auxiliary company name. The line of business must be included in the business operations of the company or organisation. 

How to decide on giving up an auxiliary company name 

The same organ that initially decided to adopt the auxiliary company name can decide to give it up. For instance, in a limited liability company, the board of directors decides unless the auxiliary company name is included in the articles of association. 

How to file giving up an auxiliary company name

You can file the notification using the online service at ytj.fi. You must have a Finnish personal identity code and personal internet banking codes, a mobile certificate, or an electronic identity card (HST card) to log in. 

The online service will calculate the fee automatically. After signing the notification, you can pay the fee using your internet banking codes or by credit card. The handling fee is 50 euros.
