Re-entering removed companies to the Finnish Trade Register – instructions for companies removed before 2023

These instructions are intended for companies that the Finnish Patent and Registration Office (PRH) removed from the Finnish Trade Register before 2023. The reason for removal was one of the following:

  • The limited liability company or co-operative failed to file its financial statements.
  • The company or housing company failed to file a competent board of directors.
  • The company or housing company did not engage in business operations.

Please note that these instructions do not apply to the companies removed from the Finnish Trade Register since 2023. Read our instructions on re-registering a company deregistered since 2023.

When to request re-entry

A company removed from the Finnish Trade Register before 2023 may request for re-entry to the Finnish Trade Register within 5 years of the removal.

How to request re-entry

Write a free-form request where you ask for your company to be re-entered in the Finnish Trade Register. See below for further instructions of the request.

The request should be signed by a person responsible for the company or by a person authorised by them. If an authorised person signs the request, enclose a copy of a special power of attorney, or the original general power of attorney.

What are the requirements for re-entry to the Finnish Trade Register

A company may request re-entry to the Finnish Trade Register if it meets these requirements:

  1. The company remedies the negligence on which the deregistration was based.
  2. The company corrects all the errors and deficiencies in the Trade Register details.
  3. The limited liability company or co-operative reports the approved financial statements for the last three (3) financial years.
  4. If there has been a change in the company's Trade Register information, make a notification of the change.

What deficiencies and errors need to be corrected

  • The limited liability company or co-operative has registered its financial statements for the three most recent financial periods.
  • The beneficial owner details of a limited liability company or co-operative have been submitted and are up to date.
  • The board of directors complies with the law and the articles of association or rules.
  • The details of the responsible persons, such as the board members, are up to date.
  • The personal identity codes of the responsible persons are registered in the Finnish Trade Register.
  • The auditor is authorised (HT auditor, KHT auditor), meaning they are in the Register of Auditors.
  • The company's postal or street address is recorded in the Finnish Business Information System at ytj.fi and the details are up to date.

Please note that all documents sent to the Finnish Trade Register are, as a rule, public. They are available in the PRH Virre Information Service.

How to send the request to the PRH

Send the re-entry request by email or post.

Please note: If you report changes, send the change notification to the address provided in the Y form. We do not accept change notifications by email.

In the email, enclose the request and any beneficiary declaration as separate PDF files. Enclose the required financial statements and financial statement notification forms for each financial period. Send your email to valvonta[at]prh.fi.

Monitor the progress of your request

You can monitor the progress of your notification using the notification search function in the Virre Information Service.Open link in a new tab

We will send a Trade Register extract to the company’s address recorded in the Finnish Business Information System at ytj.fi as soon as the company has been re-entered in the Finnish Trade Register.

Requests for the correction of errors made by the PRH

If the PRH has made an error during the deregistration procedure, you can ask the PRH to correct the error.

An example of such an error is if the PRH has registered a notification of beneficial owners or financial statements under the wrong Business ID.

Please note that if a company does not receive the PRH’s requests or reminders about the deregistration procedure, it is not considered an error. The PRH sends the requests and reminders to the company’s address recorded in the Finnish Business Information System at ytj.fi. The company is obliged to keep its address and contact details up to date.
