Liquidation of limited liability companies - Notification of dissolution and final settlement

The company is deemed to have been dissolved once the liquidators have presented the final settlement to the General Meeting.

The liquidators must without delay register the dissolution (see Chapter 20, Section 17 of the Limited Liability Companies Act). When the liquidator has completed the tasks and the General Meeting has inspected the final settlement, the liquidator files two notifications with the Finnish Trade Register:

  1. Notification of dissolution of the limited liability company.
  2. Final settlement. Go to our instructions on final settlements of limited liability companies.

How to file the notification of dissolution with the Trade Register

File your notification without delay using online or paper forms.

You need Form Y4 and Appendix Form 15. Before you start, read our instructions (in Finnish or Swedish) on how to fill in Form Y4 at ytj.fi.Open link in a new tab

Form Y4 is bilingual (English and Finnish) and can be sent to us. Appendix Form 15, on the other hand, has to be sent either in Finnish or in Swedish.

Save the forms to your computer before filling them in.

In Form Y4, fill in the basic information and indicate that the company has been dissolved.

In Appendix Form 15 (‘Liite 15’), fill in the company name (‘Yrityksen toiminimi’) and the Business ID (‘Yritys- ja yhteisötunnus’). Also fill in the following details in the sections concerning liquidation (‘Selvitystila’):

  • the date when the final accounts were approved by the General Meeting (‘Lopputilityksen hyväksymispäivä yhtiökokouksessa’)
  • the section concerning the accounting material (‘Kirjanpitoaineisto’)
    • the name of the person keeping the accounting material after the dissolution (‘Nimi (Kirjanpitoaineiston säilyttäjä lopettamisen jälkeen)’)
    • his or her postal address, postal code, and town/city (contact details are not necessary, if the person in question has a Finnish personal identity code) (‘Postiosoite (ei täytetä, jos henkilöllä on suomalainen henkilötunnus)’, ‘Postinumero’, ‘Postitoimipaikka’).

Enclose the minutes of the General Meeting where the final accounts were presented (for example a certified copy of the minutes)

Please note that all the details and documents you submit will be made public. Do not include any other documents that contain personal identity codes, home addresses, or other confidential details (such as health details or business secrets).

How to send your notification using online forms

Log in to the online form “Notification to the Finnish Trade Register". Please note that the form is only available in Finnish and Swedish.

To log in, you need to have a Finnish personal identity code and additionally one of the following: personal internet banking codes, a mobile certificate, or an electronic identity card (HST card). What to do if you do not have a Finnish personal identity code.

After you have logged in, select the matter you want to file with the Finnish Trade Register. Send the forms, and the other required documents as PDF files. Send.

How to send your notification using paper forms

Fill in, print out and sign the forms. Send the forms and the other required documents by post. The address can be found on form Y.

Who should sign the notification

The notification must be signed by a liquidator, or by someone authorised by that person. Procuration rights are not enough to sign a notification to the Finnish Trade Register.

If an authorised person signs the notification, enclose a certified copy of a special power of attorney or the original general power of attorney.

The notification is free of charge.

How to file the final settlement with the Trade Register

File the final settlement within two months from when the General Meeting has approved it. Go to our instructions on filing final settlements of limited liability companies.

What to do if you do not have a Finnish personal identity code

If you don’t have a Finnish personal identity code, you can file your notification in our online form “Identification method for foreign persons - Notification to the Finnish Trade Register" if all the following conditions are met:

  1. You are a citizen of an EU country and you don’t have a Finnish personal identity code.
  2. You use the means of identification of some other EU country.
  3. The business is be a limited liability company or a branch.

When you log in to the online form, select the country whose means of identification you use.
After you have logged in, select "Notification of termination for limited liability companies". Fill in the company details. Add the notification forms you have filled in and the other required documents (see our instructions above). Send.
