Liquidation of limited liability companies - Application for public summons

The liquidators must apply to the PRH for a public summons to the creditors of the company. Public summons must also be applied for when the authorities have ordered the company into liquidation.

The liquidators can apply for a public summons to the creditors of the company already when they notify the PRH about the liquidation and liquidators.

Please note that public summons must be applied for even if there are no creditors known to the company.

There is no statutory time limit for applying for a public summons.

Liquidator: inform the creditors at least one month before the due date of the public summons

In the public summons, creditors are asked to notify us about their receivables by the due date at the latest.

The liquidator(s) must inform the known creditors about the public summons and about the list of creditors (referred to in Section 3 of the Public Summons Act) at least one month before the due date indicated in the public notice.

We record the public summons and the due date for creditors in the Trade Register. A register extract is sent to the company (or to the representative indicated in the notification).

In addition, a public notice about the summons is published in the Official Journal at least three months before the due date.

After the due date, we will inform the liquidator or his or her representative about whether any creditors have notified their receivables to us.

How to apply

Submit your application using online or paper forms.

You need Form Y4 and Appendix Form 13. Before you start, read our instructions (in Finnish or Swedish) on how to fill in Form Y4 at ytj.fi.

Form Y4 is bilingual (English and Finnish) and can be sent to us. Appendix Form 13, on the other hand, has to be sent either in Finnish or in Swedish.

Save the forms to your computer before filling them in.

In Form Y4, fill in the basic information and any details that have changed.

In Appendix Form 13 (‘Liite 13’), on page 6 in section ‘Selvitystila, II Julkinen haaste’ (Liquidation, II Public summons), tick the box after ‘Selvitysmies hakee julkista haastetta yhtiön velkojille’ (The liquidator applies for a public summons to the creditors of the company).

How to send your application using online forms

Log in to the online form “Notification to the Finnish Trade Register". Please note that the form is only available in Finnish and Swedish.

To log in, you need to have a Finnish personal identity code and additionally one of the following: personal internet banking codes, a mobile certificate, or an electronic identity card (HST card). What to do if you do not have a Finnish personal identity code.

After you have logged in, select the matter you want to file with the Finnish Trade Register. Send the forms, and the other required documents as PDF files. Send.

How to send your application using paper forms

Fill in, print out and sign the forms. Send the forms and the other required documents by post. The address can be found on form Y.

The application fee is 180 euros.

Who should sign the application

The application must be signed by a liquidator, or by someone authorised by that person. Procuration rights are not enough to sign an application to the Finnish Trade Register.

If an authorised person signs the application, enclose a certified copy of a special power of attorney or the original general power of attorney.

What to do if you do not have a Finnish personal identity code

If you don’t have a Finnish personal identity code, you can file your application in our online form “Identification method for foreign persons - Notification to the Finnish Trade Register" if all the following conditions are met:

  1. You are a citizen of an EU country and you don’t have a Finnish personal identity code.
  2. You use the means of identification of some other EU country.
  3. The business is be a limited liability company or a branch.

When you log in to the online form, select the country whose means of identification you use.
After you have logged in, select "Notification of termination for limited liability companies". Fill in the company details. Add the forms you have filled in and the other required documents (see our instructions above). Send.
