Liquidation of limited liability companies - Notification of liquidation and liquidators

Once the General Meeting has decided on the liquidation and the liquidators, the liquidators must without delay register the decision.

Liquidation begins once this decision has been made, unless the General Meeting designates a later date for starting the liquidation.

The liquidators can apply for a public summons to the creditors of the company already when they notify the PRH about the liquidation and liquidators. See our instructions on how to apply for a public summons.

Who can be a liquidator

At least one liquidator must be resident in the European Economic Area, unless the PRH grants an exemption from this requirement. See our instructions on permits to persons from outside the EEA.

The following persons cannot be liquidators:

  • legal persons
  • minors
  • bankrupts
  • persons who are subject to business prohibition
  • persons under guardianship
  • persons with restricted legal competency.

How to file

File your notification using online or paper forms.

You need Form Y4 and Appendix Form 13 and our Personal Data Form. Before you start, read our instructions (in Finnish or Swedish) on how to fill in Form Y4 at ytj.fi.

Form Y4 is bilingual (English and Finnish) and Personal Data Form is in English. They can be sent to us. Appendix Form 13, on the other hand, has to be sent either in Finnish or in Swedish.

Save the forms to your computer before filling them in.

In Form Y4, fill in the basic information and any details that have changed.

In Appendix Form 13 (‘Liite 13’), on page 6, fill in any details that have changed, and the following details in section ‘Selvitystila, I Selvitystilaan asettaminen’ (Liquidation, I Placing into liquidation):

  • date of General Meeting (‘Yhtiökokouksen päivämäärä’)
  • date when liquidation begins (‘Selvitystilan alkamisajankohta’)
  • liquidator’s name (‘Selvitysmiehen nimi’)
  • date of birth (‘Syntymäaika’)
  • citizenship (‘Kansalaisuus’)
  • postal address (‘Postiosoite’)
  • postal code (‘Postinumero’)
  • town/city (‘Postitoimipaikka’)
  • how the liquidators represent the company (on his or her own/jointly) (‘Miten selvitysmiehet edustavat yhtiötä (yksin / yhdessä)’).

Please note: use the Personal Data Form to file personal identification details with the Finnish Trade Register. Do not include personal identity codes or home addresses on any other notification forms.

Enclose the following documents with your notification:

  • Receipt for the handling fee
  • Minutes of the General Meeting that decided on the liquidation and the liquidators.

Please note that all the details and documents you submit will be made public, apart from the personal data form. Do not include any other documents that contain personal identity codes, home addresses, or other confidential details (such as health details or business secrets).

How to send your notification using online forms

Log in to the online form “Notification to the Finnish Trade Register". Please note that the form is only available in Finnish and Swedish.

To log in, you need to have a Finnish personal identity code and additionally one of the following: personal internet banking codes, a mobile certificate, or an electronic identity card (HST card). What to do if you do not have a Finnish personal identity code.

After you have logged in, select the matter you want to file with the Finnish Trade Register. Send the forms, receipt for the handling fee, and the other required documents as PDF files. Send.

Go to the online form “Notification to the Finnish Trade Register" in Finnish or in Swedish.

How to send your notification using paper forms

Fill in, print out and sign the forms. Send the forms and the other required documents by post. The address can be found on form Y.

Who should sign the notification

The notification must be signed by a liquidator, or by someone authorised by that person. Procuration rights are not enough to sign a notification to the Finnish Trade Register.

If an authorised person signs the notification, enclose a certified copy of a special power of attorney or the original general power of attorney.

Price

When using online forms, the notification fee is 40 euros.

When using paper forms, the notification fee is 95 euros.

What to do if you do not have a Finnish personal identity code

If you don’t have a Finnish personal identity code, you can file your notification in our online form “Identification method for foreign persons - Notification to the Finnish Trade Register" if all the following conditions are met:

  1. You are a citizen of an EU country and you don’t have a Finnish personal identity code
  2. You use the means of identification of some other EU country.
  3. The business is be a limited liability company or a branch.

When you log in to the online form, select the country whose means of identification you use.
After you have logged in, select "Notification of termination for limited liability companies". Fill in the company details. Add the notification forms you have filled in and the other required documents (see our instructions above). Send.
