Negligence fee for incomplete or incorrect details in the Finnish Trade Register

As of 2025, the Finnish Patent and Registration Office (PRH) can impose a fee for negligence on companies that do not correct deficiencies or errors in their Trade Register details despite the PRH requesting corrections.

The negligence fee applies to all company forms.

The fee is based on the Finnish Trade Register Act, which specifies the amount.

Please note that the PRH does not take action based on individual reports; as an authority, the PRH exercises its discretionary power with regard to what kind of deficiencies or errors payment procedures are applied to.

Amount of the fee

The negligence fee is 300 euros.

For public limited companies and European companies, the fee is 600 euros.

If a company does not correct its details after the first negligence fee, the PRH will send a new request. If the company does not correct its details after receiving the new request, the PRH will impose a new negligence fee equal to twice the first negligence fee.

Deficiencies or errors

Examples of the deficiencies or errors are the following:

Payment procedure

The PRH imposes a negligence fee on companies that do not correct a deficiency or an error in their Trade Register details despite the PRH’s requests.

The procedure steps are the following:

  1. The PRH sends a letter to the company asking it to correct a deficiency or error in its Trade Register details.
  2. If the company does not correct the deficiency or error by the deadline given in the letter, the PRH imposes a negligence fee and sends a decision on the matter to the company.

Collection of the fee

The Legal Register Centre (LRC) collects fees.

The fee collection has the following steps:

  1. The company can pay the negligence fee to the LRC after receiving the PRH’s decision on the imposition of the fee along with payment instructions.
  2. The LRC checks if the company has paid the negligence fee based on the decision from the PRH.
  3. If the negligence fee is completely or partially unpaid, the LRC sends a separate request for payment to the company and provides a due date for the fee.
  4. If the company does not pay the negligence fee by the due date provided by the LRC, the fee can be collected through execution.

Submit the details in time to avoid fees

You should keep your company’s Trade Register details up to date and file missing details as soon as the PRH requests them.

Please note that the PRH sends decisions by letter to the company address registered in the Finnish Business Information System at ytj.fi, which is why it is important to keep the company’s address up to date in the Finnish Trade Register.
