Re-entry for companies that have been removed from the Finnish Trade Register since 2023

These instructions are intended for companies that have been removed from the Finnish Trade Register or ordered into liquidation starting since the beginning of 2023.

Amended Act: deregistered companies may apply for re-entry to the Finnish Trade Register

The amendment of the Finnish Trade Register Act entered into force on 1 January 2025.

Under the new Act, a company that has been removed from the Finnish Trade Register or ordered into liquidation since 2023 may apply for re-entry to the Finnish Trade Register or termination of the liquidation. The PRH can accept the application if the company’s application meets the requirements set out in the Act.

Requirements for re-entry to the Finnish Trade Register or termination of liquidation

The company can apply for re-entry to the Finnish Trade Register or termination of liquidation if it meets these requirements:

  1. The company remedies the negligence on which the deregistration or order of liquidation was based.
  2. The company corrects all the errors and deficiencies in the Trade Register details.
  3. The company has paid the statutory fees imposed by the PRH.
  4. The company is not dissolved, or its assets have not been distributed in the liquidation procedure.
  5. There are no other legislative obstacles to re-registering the company or terminating the liquidation, such as an obstacle to registering the company name.

The application and most required notifications to the Finnish Trade Register are subject to a fee.

Please note: The PRH will not accept the application if less than 5 years have passed since the company was last re-entered to the register or its liquidation was ordered to be terminated.

Which deficiencies and errors need to be corrected?

Your company must correct all the errors and deficiencies in its Trade Register details. For example, you should check the following:

  • The limited liability company or co-operative has registered its financial statements for the three most recent financial periods.
  • The beneficial owner details of a limited liability company or co-operative have been submitted and are up to date.
  • The board of directors complies with the law and the articles of association or rules.
  • The details of the responsible persons, such as the board members, are up to date.
  • The personal identity codes of the responsible persons are registered in the Finnish Trade Register.
  • The auditor is authorised (HT auditor, KHT auditor), meaning they are in the Register of Auditors.
  • The board members, managing director, holders of procuration, house manager and people authorised to sign for the company are not disqualified or on the EU’s sanctions list.
  • The company’s postal or street address is recorded in the Finnish Business Information System at ytj.fi, and the details are up to date.
  • The share capital is paid in full, and the payment is confirmed by a statement from the board of directors and the managing director, if the company has one.

Where can I see the company’s Trade Register details?

You can obtain the company’s Trade Register details by downloading a Trade Register extract free of charge via the PRH’s Virre Information Service.

Search for the company’s details and select that you want to have the extract for a specific day. Enter a date before the company was deregistered as the start and end date. Go to the Virre Information Service.Open link in a new tab
