More information about supervisory board, procuration rights, permits for persons living outside the EEA and legislation

Under the Finnish Limited Liability Companies Act, the supervisory board is a voluntary organ. If a limited liability company wishes to appoint a supervisory board, the Articles of Association must contain provisions on the supervisory board.

Registering the holders of procuration is voluntary. However, if registered procuration rights have lapsed, the changes must be filed with the Finnish Trade Register. Read more about procuration rights (in Finnish and Swedish).

Persons living permanently outside the European Economic Area (EEA) need a permit from the Finnish Patent and Registration Office (PRH) to hold certain positions, such as board member or managing director.

The Finnish Limited Liability Companies Act lays down provisions on the management and representatives (chapter 6) and auditors (chapter 7) of limited liability companies. Read more in the Finnish Limited Liability Companies Act (PDF file).Open link in a new tab
