Automated decision-making when changes to persons responsible for a company are filed with the Finnish Trade Register

From 3 January 2024, the PRH may use automated decision-making when changes to persons responsible for a company are filed with the Finnish Trade Register.

We do not register all changes to persons responsible for a company automatically. The notifications of changes are handled by an officer in charge of the processing if they include details which do not meet the conditions for automated decision-making.

The conditions for automated decision-making are specified in our online filing service at ytj.fi and in our Trade Register processing system. The specifications are provided in the deployment decision and the processing rules.

When can notifications of changes be processed automatically?

The PRH can automatically process reported changes to the persons responsible for a company if the changes have been filed using the online service at ytj.fi in Finnish or Swedish and no attachments are included.

In addition, the notification must meet the conditions below.

  • The company type is a
  • limited liability company
  • housing company
  • mutual real estate limited company, or
  • co-operative.
  • The reported person responsible for the company is appointed as
  • a member or deputy member of the board of directors
  • the managing director or substitute for the managing director
  • the house manager or house manager with principal responsibility in the organisation, or
  • the auditor or auditor with principal responsibility in the organisation
  • a holder of procuration rights
  • a person authorised to represent the company.
  • The reported person is eligible to be appointed.
  • The company has reported the number of people required by law or, for instance, by the articles of association of a limited liability company.
  • The notification is signed by a registered person responsible for the company and this person will continue as a person responsible for the company.
  • We have no reason to suspect that the filed details are incorrect.

How do I know if a notification is processed automatically?

We send the company a Trade Register extract when the changes have been processed. The extract shows if the registration was made automatically and where you can find more information about automated decision-making.

Can I appeal automated decision-making?

Companies cannot appeal against the use of automated processing for notifications of changes at the PRH. In addition, companies cannot appeal against the registration of filed changes at the Finnish Trade Register.

The PRH registers changes to the persons responsible for a company based on the company’s notifications. In addition, an obliged company is an interested party in the processing of notifications filed with the Finnish Trade Register. Finnish legislation does not require that an administrative review can be requested if the interested party is a company or an organisation.

The PRH has assessed that automated decision-making does not put obliged companies or organisations in unequal positions.
