Notification of changes: Termination of appointment and notification of resignation

Organs of businesses and organisations that are recorded in the Trade Register have a statutory duty to notify the Trade Register of changes in their registered details without delay.

If the organ of a business or an organisation that is recorded in the Trade Register fails to notify of resignations or terminated appointments, some information may not be updated, including removing the details of persons who no longer act in the given positions. In such a case, it is to your advantage to report yourself your resignation or terminated appointment to the Trade Register.

Please note that it is very important to notify the Trade Register if you have left your position in a general partnership or a limited partnership. The partner’s liability for the partnership’s debts and other obligations may continue until the resignation has been entered into the Trade Register, and has been published.

Neither your resignation nor the termination of your appointment are legally recognised by notifying the Trade Register; to do that you must comply with the legal provisions that regulate the appointment or position concerned. Furthermore, the actual resignation date is not entered into the Trade Register, but only the registration date for the notification.

The notification of your resignation or the termination of an assignment entered in the register is free of charge.

Who can file

Everyone whose details exist in the Trade Register can file a notification on their resignation or the termination of their appointment.

The notification is signed by the resigned person, or by a person he or she authorises.

If you report more than one person’s resignation or terminated appointment on the same paper form, it must be signed by each of the resigned persons, or by persons they authorise.

If an authorised person signs the paper form, enclose a certified copy of a special power of attorney, or the original general power of attorney.

How to file

You can file your notification using the online service at ytj.fi if the business is one of the following:

  • limited liability company and public limited liability company
  • housing company
  • mutual real estate company
  • private trader
  • general partnership
  • limited partnership
  • co-operative
  • co-operative bank and savings bank
  • insurance company and public insurance company
  • mutual insurance company and public mutual insurance company

If the business concerned is not included in the list above, you cannot file using the online service at ytj.fi. File your notification using paper forms.

Please note that you can file your notification electronically using our online form if you notify the Trade Register of your resignation or the termination of your appointment in a branch. Read more below: Termination of appointment in a branch.

How to file your notification in the online service at ytj.fi

Please note:

To log in to the service, you need to have a Finnish personal identity code and additionally one of the following: personal internet banking codes, a mobile certificate, or an electronic identity card (HST card). What to do if you do not have a Finnish personal identity code.

Log in to the online service at ytj.fi and select “Muuta yrityksen tietoja tai lähetä tilinpäätös" or “Ändra företagets uppgifter eller skicka in bokslut" on the front page.

The online service at ytj.fi will help you fill in the notification of changes. Fill in the requested details.

In the service, fill in your own contact details in "Lisätietojen antaja" or "Lämnare av tilläggsuppgifter" (a contact person). We send a Trade Register extract concerning the register entry to the contact person. Otherwise we send the register extract to the business’s address.

How to file your notification using paper forms

You can also file your notification using our paper forms. There are separate forms for each type of business.

Before you start, read our instructions (in Finnish or Swedish) on how to fill in form.

Save the forms to your computer before filling them in. Please fill in the forms in Finnish or in Swedish.

Please note that when you report a terminated appointment, you cannot report any other changes on the same paper form, not even a new address.

You can report your resignation on the paper form under “Additional information" on page 2. Do not fill in personal identity codes on the paper notification forms.

Fill in your own contact details in the field “Who can provide the Trade Register or the Foundation Register with further information; an individual, an accounting firm etc." We send a Trade Register extract concerning the register entry to the contact person. f this field is empty, we will send the register extract to the business’s address.

Fill in, print out and sign the forms. Send the forms by post. The address can be found on form Y.

Termination of appointment in a branch

File your notification using online or paper forms. Please note that you cannot file using the online service at ytj.fi.

You need a notification form. See "How to file your notification using paper forms " above.

Log in to the online form “Notification to the Finnish Trade Register". Please note that the online form is only available in Finnish and Swedish.

To log in, you need to have a Finnish personal identity code and additionally one of the following: personal internet banking codes, a mobile certificate, or an electronic identity card (HST card). What to do if you do not have a Finnish personal identity code.

After you have logged in, select the matter you want to file with the Finnish Trade Register ("Sivuliike – Henkilömuutokset" or "Filial – Personändringar"). Add the notification form as a PDF-file. Send.

What to do if you do not have a Finnish personal identity code

If you do not have a Finnish personal identity code you can file your notification of termination of appointment electronically in our online form if the following conditions are met:

  1. You are a citizen of an EU country and you don’t have a Finnish personal identity code.
  2. You use the means of identification of some other EU country.
  3. The business is a limited liability company or a branch.

File your notification by logging in to the online form “Identification method for foreign persons - Notification to the Finnish Trade Register". When you log in, select the country whose means of identification you use.

After you have logged in, select either “Notification of changes for limited liability companies" or "Notification of changes for branches" as the matter to be filed. Fill in the company details. Add the notification form (see our instructions for paper forms above) as a PDF file. Send.
