Limited liability companies and co-operatives: File your beneficial owner details by 23 October 2024 to avoid deregistration

The Finnish Patent and Registration Office (PRH) reminds thousands of limited liability companies and co-operatives to file details of their actual beneficial owners with the Finnish Trade Register by 23 October 2024. We have recorded the reminder in the Trade Register details of these companies.

The PRH deregisters these companies if they do not file their beneficial owner details by the deadline, and there is no basis for ordering the business into liquidation.

A Trade Register extract including the entry has been sent to each company’s address recorded in the Finnish Business Information System at ytj.fi, or to a person responsible for the company. The reminder will also be published in the Official Journal.

All limited liability companies and co-operatives must file their beneficial owner details with the Finnish Trade Register. This does not apply to listed companies or mutual real estate limited companies.

Who is an actual beneficial owner?

An actual beneficial owner is a person with an ownership interest or control in a company. Such a person owns more than 25% of the company’s shares or holds more than 25% of the voting rights in the company, whether directly or indirectly through another company. Read more about beneficial owners.

The company must file a notification of beneficial owners even if the company has no actual beneficial owners or the company does not know them.

File the notification of beneficial owners by the deadline to avoid deregistration. We do not extend the deadline for filing the notification.

Deregistration in November 2024

We will deregister companies if they do not file their notification of beneficial owners by the deadline, and there is no basis for ordering the business into liquidation.

Deregistered companies may appeal the decision to the Helsinki Administrative Court.
