Trade Register, Register of Associations and auditors: Changes to handling fees from 1 January 2024

The PRH has proposed changes to its handling fees to the Ministry of Economic Affairs and Employment of Finland. The decree on chargeable services is issued for the period 1 January 2024 to 31 December 2025.

The new price lists will be published at prh.fi on 1 January 2024.

The changes are listed below:

Trade Register: Handling fees for notifications

• Starting up a limited liability company using model documents 280 euros
• Start-up notification for general or limited partnerships 280 euros
• Start-up notification for private traders 70 euro
• Start-up notification for other traders 370 euro
• Change of company type, not requiring a public notice 370 euros
• Notification of changes concerning the board of directors, supervisory board, holders of procuration, persons entitled to sign for the company, auditors, sustainability auditor, managing director, or house manager 50 euros per matter
• Change of the place of registered office or line of business of a private trader 50 euros per matter
• Notification of company name or parallel company name using a notification of changes, or notification of auxiliary company name 70 euros per matter
• Notification of changes concerning articles of association, rules or bylaws 280 euros
• Notification of changes concerning partnership agreement 140 euros
• Notification of changes concerning shares or share capital 280 euros
• Decision on the issue of option rights 440 euros
• Loss of capital 50 euros
• Notification the registration of which requires a public notice to be issued to the creditors of the limited liability company when the share capital is being reduced, the articles of association are being changed, or they are being derogated from, or the company form is being changed 280 euros + 180 euros per public notice
• Transfer of registered office, merger or demerger of a company from Finland to the EU 500 euros
• Other notification of changes 50 euros per matter
• Filing of financial statements for a financial period ending before 1 December 2024, later than within eight months from the end of the financial period 100 euros
• Filing of financial statements not using the online service 100 euros

Trade Register: Handling fees for merger, demerger, and transfer of registered office

• Notification of draft terms of merger, demerger, or transfer of registered office 240 euros per company
• Application for a public notice in merger, demerger, or transfer of registered office 180 euros per each company listed on the public notice
• Notification of implementation of merger, demerger, or transfer of registered office 240 euros per company
• Notification of lapse or cancellation of merger, demerger, or transfer of registered office 50 euros per company

Trade Register: Other applications

• Application for a public summons to the creditors of the organisation 180 euros
• Other application matters given notice of in the Official Journal 180 euros
• Application for an exceptional permission to act as member of the supervisory board or board of directors, managing director or liquidator in a limited liability company, or member of the board of directors or house manager in a housing company 140 euros
• Application for revocation of a registered company name 400 euros
• Other application matters 50 euros

Register of Associations: Preliminary checks, fees for notifications and applications

• Preliminary check of rules or rule changes 385 euros
• Start-up notification of an association, Central Chamber of Commerce or chamber of commerce 110 euros
• Start-up notification of an association using the guided process 55 euros
• Notification of rule changes (no preliminary check made) 110 euros
• Notification of rule changes (preliminary check made) 55 euros
• Start-up notification of a religious community, a local community or congregation 220 euros
• Notification of changes concerning the bylaws of a religious community, or the rules of a local community or congregation 220 euros
• Notification of changes concerning the chairperson, the executive committee, or persons entitled to sign for the association 25 euros
• Composition of organs of the Central Chamber of Commerce or chambers of commerce (section 2 of the Finnish Act on Chambers of Commerce) 25 euros
• Start-up notification of a European grouping of territorial cooperation 220 euros
• Notification of changes concerning the statute or the cooperation convention of a European grouping of territorial cooperation 220 euros
• Notification of changes concerning the members or the right to sign on behalf of a European grouping of territorial cooperation 25 euros
• Application for ordering the dissolution of an association 220 euros
• Exemption (Finnish Associations Act, 503/1989, section 35) 110 euros

Auditors

• Fee for KRT examination 610 euros
• Fee for additional KRT examination assignment: additional assignment, 1–3 credits, 180 euros; additional assignment, 4–6 credits, 360 euros; and additional assignment, 7–9 credits, 540 euros.
• Admission to an aptitude test or to a part of it, KRT applicants 305 euros
• Handling fee for designating an auditor or a sustainability auditor 1,000 euros
• Handling fee for an application for exemption relating to the exceeding of the maximum amount of fees 2,000 euros
